Terms of Service

What this covers

These terms govern your use of No Headcount, operated by No Headcount LLC ("we," "us," "our"). By creating an account or using the service, you agree to these terms. If you don't agree, don't use the service.

Account terms

• You must be at least 13 years old to use this service.
• You must provide accurate information when creating your account.
• You are responsible for keeping your account credentials secure.
• You are responsible for all activity under your account.
• One person or legal entity per account. Shared accounts are not permitted.

Free trial

New accounts start with a 14-day free trial with full access to all features. At the end of the trial, your account downgrades to the free tier (email triage guidance and read-only workspace access). There is no automatic charge. You will not be billed unless you explicitly subscribe.

Subscription and billing

The Blueprint subscription is $139 per month (or $99 per month during the early adopter period). Annual billing is available at a discounted rate. All billing is processed through Lemon Squeezy, our merchant of record. Lemon Squeezy handles payment processing, tax collection, and invoicing on our behalf.

Subscriptions renew automatically. You can cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing cycle. No refunds are issued for partial billing periods.

Skills Bundle

The Skills Bundle is a one-time purchase of $499 that includes every skill file, template, script, and reference document available at the time of purchase. It does not include access to the MCP workspace, session memory, coaching tools, or ongoing updates. Future additions to the bundle are not guaranteed.

Your data

You own the content you create in your workspace. We store it to provide the service. We do not sell your data. We do not use your data to train AI models. See our Privacy Policy for details on what we collect and how we handle it.

Intellectual property

No Headcount LLC owns all rights, title, and interest in the service, including the coaching methodology, Blueprint progression structure, skill file designs, prompt templates, workflow architecture, tool configurations, and all related materials. These are protected by copyright, trade secret, and other intellectual property laws.

Your subscription or purchase grants you a limited, non-exclusive, non-transferable license to use the service and its content for your own personal or internal business purposes. This license does not transfer any ownership of our intellectual property to you.

What you can't do

When using No Headcount, you agree not to:

• Use the service for any illegal purpose or to violate any laws.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying structure, ideas, know-how, algorithms, or methodologies of the service, except to the extent that such restriction is expressly prohibited by applicable law.
• Access or use the service, its content, or any related documentation for the purpose of building, training, or improving a competitive product or service, or for copying its features, workflow design, coaching methodology, or tool architecture.
• Reproduce, distribute, sublicense, publicly display, or create derivative works from any skill files, templates, prompt designs, coaching content, or reference documents obtained through the service, except for your own personal or internal business use as permitted by your license.
• Perform or publicly disclose any benchmarking, comparative analysis, or competitive evaluation of the service without our prior written consent.
• Use any automated means, including bots, scrapers, or crawlers, to access, monitor, or copy any content or data from the service.
• Resell, redistribute, or sublicense your account or access to the service.
• Attempt to gain unauthorized access to other accounts or our systems.
• Use the service to send spam, phishing, or other unsolicited communications.
• Interfere with the service's operation or impose unreasonable load on our infrastructure.

Skills Bundle license

The Skills Bundle is licensed, not sold. Your purchase grants you a perpetual, non-exclusive, non-transferable license to use the included skill files, templates, scripts, and reference documents for your own personal or internal business purposes. You may not redistribute, resell, sublicense, or publicly share bundle materials, in whole or in part. You may not use bundle materials to create a competing product or service. This license is for a single individual or legal entity and may not be shared across teams or organizations.

Confidentiality

The service's internal methodology, coaching progression structure, tool configurations, and workflow design constitute confidential information. You agree not to disclose, publish, or otherwise make available any confidential information obtained through your use of the service, except as necessary for your own permitted use. This obligation survives termination of your account.

AI-generated content

No Headcount uses AI to generate briefings, drafts, summaries, and other outputs. These outputs are not guaranteed to be accurate, complete, or current. You are responsible for reviewing all AI-generated content before acting on it. Nothing produced by this service constitutes professional, legal, financial, or medical advice.

Privacy

Your privacy matters. Please read our Privacy Policy, which explains what data we collect and how we use it. By using the service, you agree to the Privacy Policy.

Security boundary

We do not store passwords, API keys, or credentials for any external service. We do not make connections to third-party services on your behalf. Email, calendar, and other integrations run through your own tools and connectors. We are the workspace. Your credentials stay with you.

Cancellation and data deletion

You can cancel your subscription at any time. After cancellation, your account reverts to the free tier at the end of your billing cycle. Your data remains accessible in read-only mode.

If you request account deletion, your data becomes inaccessible immediately. It is permanently deleted from our active systems within 30 days and from backups within 60 days. To request deletion, email us at the address below.

Data export

You can export your workspace data in JSON format at any time through the service. This includes projects, tasks, time entries, and session notes.

Warranty disclaimer

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, No Headcount LLC's total liability to you for any claims arising from or related to the service is limited to the amount you paid us in the 12 months preceding the claim. In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability.

Indemnification

You agree to indemnify, defend, and hold harmless No Headcount LLC, its officers, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, your violation of these terms, or your violation of any rights of a third party.

Changes to these terms

We may update these terms from time to time. For material changes, we will notify you by email at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance. If you disagree with the changes, you may cancel your account before they take effect.

Governing law

These terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.
